Welcome to the INX API
You agree and understand that by accessing or using INX’s application programming interface (the “API”) and the related documentation, the current version of which is located at https://apidoc.inx.co (the “INX API Documentation”), you are agreeing to enter into this API agreement (the “API Agreement”) and be legally bound by its terms and conditions. PLEASE READ THEM CAREFULLY. If any term or condition of this API Agreement is unacceptable to you, please do not use our API.
This API Agreement supplements, and forms part of, the applicable terms of service, the current version of which is located at https://www.inx.co/legal/general-terms as applicable “General Terms.” In case of a conflict, the General Terms shall control. Your use of the API must comply with the General Terms. Accordingly, capitalized terms used, but not defined in this API Agreement, have the meanings set out in the General Terms.
Using Our API
By accessing or using INX’s API, you represent and affirm that you are at least 18 years old, have the legal capacity to enter into this API Agreement, and agree to be legally bound by the terms and conditions of this API Agreement in their entirety.
Feel free to print and keep a copy of this API Agreement, but please understand that we reserve the right to change any of these terms and conditions at any time. But don’t worry, you can always find the latest version of this API Agreement here on this page.
You agree and understand that by accessing or using the API following any change to this API Agreement, your access or use of the API shall constitute your agreement to the amended API Agreement, and you agree to be legally bound by its terms and conditions as amended. You should, therefore, read this API Agreement from time to time. If you do not agree to be bound by this API Agreement, you should not access
or use the API.
In order to use the API, you must first sign up for an Account through the Site.
Certain authenticated features and functionality available through the API require an authentication key. If you wish to access these features and functionality through the API, you must further generate one or more API keys (each, an “API Key”). You acknowledge that such API Keys are our confidential information and will not sure your API Keys with any third party without our prior written consent. In addition, we may revoke your API Keys any time without notice to you.
Use of the API
Subject to your compliance with the terms and conditions hereunder, you may use the API solely in accordance with this API Agreement and the API Documentation.
Subject to the terms and conditions set forth in this API Agreement, we hereby grant to you a revokable, non-assignable, non-exclusive, worldwide, and royalty-free limited license to use our API. You may not use our API if (i) you are not at least 18 years old and do not have the legal capacity to enter into this API Agreement, (ii) you are a person barred from using our API under the applicable laws of the United States or other countries, including the country in which you are resident or from which you use our API, and (iii) you do not agree to be legally bound by the terms and conditions of this API Agreement in their entirety.
License to INX API Documentation
We hereby grant to you a revokable, non-assignable, non-exclusive, worldwide, and royalty-free limited license to use the API Documentation solely to facilitate your development of applications that interface with the Services in accordance with this API Agreement and the INX API Documentation (each such application, an “Application”).
API Call Limitations
The number of calls you or your Application makes to the API during any given period may be limited, at our sole discretion, based on various factors that include the manner in which your Application makes calls to the API and the anticipated volume of use associated with your Application.
Changes to the API
We reserve the right to change the API and the INX API Documentation at any time and without notice. You acknowledge and understand that these changes may require you to make substantial changes to your Application at your own cost and expense. It is your responsibility to review the INX API Documentation and this API Agreement regularly.
Authorized Access and Security
When accessing or using our API, you must comply with all of our security policies and procedures at all times. You shall not, and shall not attempt to, reverse-engineer, decompile, disassemble, or otherwise attempt to determine or modify the source code of our API or create any derivative products from our API. Anyone who uses our API to access Account data or to perform actions on the Site must authenticate with an API key.
You agree that your login credentials and any other required forms of authentication, where applicable, have been chosen by you, when applicable. You also agree to keep your login credentials and any other required forms of authentication, including your API Keys, confidential and separate from each other, as well as separate from any other information or documents relating to your use of the Site.
You agree and understand that you are solely responsible (and you will not hold us responsible) for managing and maintaining the security of your login credentials and any other required forms of authentication, including your API Keys. You further agree and understand that we are not responsible (and you will not hold us responsible) for any unauthorized access to or use of your Account(s).
You agree to accept responsibility for any charges or losses caused as a result of, or in connection with, but not limited to, an Order placed or withdrawal request initiated through our API with your API key.
You agree and understand that you are responsible for monitoring your Account(s). If you notice any unauthorized or suspicious activity in your account or if you believe your API Key, your login credentials, any other required forms of authentication, and/or any other account associated with your Account(s) has been compromised, please contact us or email email@example.com and notify us immediately.
Data that You Transmit Using the API
You grant to us an irrevocable, worldwide, non-exclusive, royalty-free, fully paid-up, transferrable and sublicensable license during your use of the API to access, collect, store and use any data, information, records and files that: (i) you load, transmit to or enter into the API (“Transmitted Data”); or (ii) that we collect from your usage of the API, to (1) develop, enhance and make available the API and the Services; and (2) to produce data, information or other materials that are not identified as relating to you or any particular individual or company (such data, information and materials, the “Aggregated Statistical Information”).
Data that You Collect Using the API
The API may allow you to collect information or data available on or through the Services, including data or information: (i) from or about other users of the Services; and (ii) collected by INX or made available by third parties (collectively, the “INX Data”). You may only use such INX Data in accordance with the General Terms and for your internal purposes or within your Application and will not disclose, sell or transfer any INX Data without our prior written consent. Accordingly, you will exercise reasonable safeguards to protect the INX Data from unauthorized access or use.
No Use Rights to INX Data Containing Personal Information
You may not use any INX Data that contains any information about identifiable individuals (such information, “Personal Information”) and will promptly delete such Personal Information in your possession or control upon becoming aware of such Personal Information.
Deletion of INX Data
You will immediately delete any and all INX Data: (i) upon our request or the request of any individual or company in respect of which such INX Data relates; (ii) when your access to the API is suspended or revoked; (iii) when you deactivate your Application or otherwise remove its integration from the API; or (iv) when it is no longer reasonably required by you or your Application.
Monitoring Usage of API
You acknowledge and agree that we may monitor your use of the API and that you will not block or otherwise interfere with our monitoring.
Communications Not Confidential
Your use of the API requires the transmission of data and information over the internet and public networks. Accordingly, we do not, and cannot, guarantee the confidentiality, security or reliability of any communications made by you or your Applications through the API.
All rights (including intellectual property rights), title and interest in and to the API, the INX API Documentation, Aggregated Statistical Information, INX Data and all other materials provided by us (or our third party suppliers or service providers, if applicable). The API, the INX API Documentation, INX Data and all other materials provided by us hereunder are licensed and not “sold” to you. All rights not expressly granted to you in this API Agreement are reserved.
Suspension or Termination
You agree and understand that we may, in our sole discretion, change, suspend, discontinue, or terminate any aspect of our API, or its availability to you, at any time and without notice.
You shall indemnify, hold harmless and at your expense defend us, our affiliates, and our and their respective officers, managers, and employees (“Indemnified Persons”) from and against any and all losses, claims, demands, and expenses (including reasonable attorney’s fees of counsel selected by us) arising in connection with any (a) of your or your affiliates’ (i) breach of this API Agreement, or (ii) willful misconduct or negligence; (b) your Applications; or (c) your use of the API contrary to this API Agreement or the INX API Documentation. For the avoidance of doubt, the indemnitees set forth in this section are in addition to, and not in place of, those set forth in the General Terms.
Warranties and Limitation of Liability
You represent and warrant that you have the requisite authority to enter into this API Agreement according to its terms, and its performance does not violate any laws, regulations, or agreements applicable to you.
You represent and warrant and covenant that all Transmitted Data will only contain data and information (including, if applicable Personal Information) in respect of which you have obtained all applicable third party consents and permissions and otherwise have all authority, in each case as required by applicable law, to enable us to make available the API and exercise our rights under this API Agreement.
THE API IS PROVIDED ON AN “AS IS” BASIS. YOU AND YOUR AFFILIATES DISCLAIM ANY AND ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR USE, OR OF NON-INFRINGEMENT OR ANY OTHER VIOLATION OF ANY THIRD PARTY INTELLECTUAL PROPERTY RIGHTS. WE AND OUR AFFILIATES DO NOT GUARANTEE OR MAKE ANY WARRANTY CONCERNING THE ACCURACY OR RELIABILITY OF THE API OR ANY INX MARKET DATA, AND DISCLAIM ANY AND ALL LIABILITY (WHETHER IN TORT OR CONTRACT OR OTHERWISE) FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL LOSS OR DAMAGE ARISING FROM ANY INACCURACIES OR OMISSIONS IN, OR ANY DELAY OR LOSS OF ACCESS TO, OR OTHERWISE IN CONNECTION WITH THE USE, STORING, COPYING OR, IN THE CASE OF OEMS SERVICE
PROVIDERS SUBJECT TO AN OEMS SERVICE PROVIDER AGREEMENT, REDISTRIBUTION OF, ANY INX MARKET DATA OR THE API.
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, AND NOTWITHSTANDING ANY OF THE FOREGOING, WE WILL HAVE NO LIABILITY UNDER THIS API AGREEMENT. FOR THE AVOIDANCE OF DOUBT, THE WARRANTIES AND LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE IN ADDITION TO, AND NOT IN PLACE OF, THOSE SET FORTH IN THE GENERAL TERMS.
